1Agreement to Terms
By creating an account or using Subproof in any way, you confirm that you have read, understood, and agreed to these Terms of Service. If you do not agree, do not use Subproof.
These Terms form a legally binding agreement between you and Subproof, operated from Toronto, Ontario, Canada.
2Eligibility
You must be at least 18 years of age to use Subproof. By creating an account you confirm that you are 18 or older. If we discover you are under 18 your account will be terminated immediately and any associated data will be deleted.
3Your Account
3.1One account per person
Each person may only hold one Subproof account. Creating multiple accounts is not permitted and may result in all accounts being suspended.
3.2Account security
You are solely responsible for keeping your login credentials secure. Do not share your password with anyone. Subproof will never ask you for your password.
3.3No account transfers
Your account is personal to you. You may not sell, transfer, lend, or share access to your account with any other person under any circumstances.
3.4Accurate information
You agree to provide accurate information when creating your account and to keep that information up to date.
3.5Account suspension
Subproof reserves the right to suspend or permanently terminate any account that violates these Terms, engages in fraudulent activity, or causes harm to other users or to the platform. We will make reasonable efforts to notify you before taking action unless doing so would pose a risk to the platform or other users.
4What Subproof Does
Subproof is a personal finance tool that helps you track subscriptions, free trials, recurring payments, and billing dates. Subproof is an organizational tool only. We are not a financial institution, bank, payment processor, or financial advisor.
Important: Subproof helps you stay aware of your payments. We are not responsible for any charges, missed cancellations, or financial losses that occur regardless of whether Subproof detected them or not. You remain solely responsible for managing your own finances and subscriptions.
5Acceptable Use
By using Subproof you agree that you will not:
- Use Subproof for any illegal purpose or in violation of any applicable law
- Attempt to hack, reverse engineer, or interfere with the platform or its infrastructure
- Upload malicious code, viruses, or harmful content
- Impersonate any person or entity
- Use automated tools, bots, or scripts to access Subproof without written permission
- Harass, threaten, or harm other users
- Attempt to gain unauthorized access to other users accounts or data
- Use Subproof to process payments on behalf of others
- Resell or commercialize access to Subproof without written permission
Violations may result in immediate account termination without notice or refund.
6Subscription Plans and Billing
6.1Free plan
Subproof offers a free plan with limited features at no cost. No payment information is required for the free plan.
6.2Paid plans
Subproof offers paid plans including Plus and Pro with additional features. Paid plans are billed on a monthly or annual basis as selected at checkout.
6.3Automatic renewal
Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing you authorize Subproof to charge your payment method automatically at each renewal.
6.4Price changes
Subproof reserves the right to change pricing at any time. We will provide at least 30 days notice before any price increase takes effect for existing subscribers. Continued use of Subproof after a price change constitutes acceptance of the new pricing.
6.5No refunds
All payments to Subproof are final and non-refundable. We do not offer refunds for any reason including but not limited to unused time on a subscription, accidental purchases, or dissatisfaction with the service. If you believe there has been an unauthorized charge please contact us immediately.
6.6Cancellation
You may cancel your paid subscription at any time. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until that date. After cancellation your account will revert to the free plan.
6.7Payment processing
All payments are processed securely by Stripe. Subproof never stores your credit card number, CVV, or full payment details. By making a payment you also agree to Stripe's Terms of Service.
7Bank Connection (Plus and Pro Plans)
Subproof offers optional bank connection through Teller for Plus and Pro users. By connecting your bank account you understand and agree that:
- You are authorizing Subproof to read your transaction history for the purpose of detecting recurring payments
- Subproof reads your transactions but never initiates payments, transfers, or any financial actions on your behalf
- You can disconnect your bank at any time from your dashboard
- Bank connection data is used solely to provide Subproof features and is never sold or shared beyond what is described in our Privacy Policy
- Subproof is not responsible for any inaccuracies in detected transactions or missed recurring charges
8Intellectual Property
All content, design, code, branding, and features within Subproof are owned by Subproof and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of Subproof without prior written permission.
Your data — the subscriptions, trials, and information you add — belongs to you.
9Disclaimer of Warranties
Subproof is provided as is and as available without any warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure. We do not guarantee that Subproof will detect every subscription or free trial accurately.
10Limitation of Liability
To the maximum extent permitted by applicable law, Subproof shall not be liable for any indirect, incidental, special, consequential, or punitive damages including but not limited to loss of money, missed cancellations, or data loss arising from your use of or inability to use Subproof.
Our total liability to you for any claim arising from these Terms or your use of Subproof shall not exceed the total amount you paid to Subproof in the 12 months preceding the claim.
11Changes to These Terms
We may update these Terms of Service from time to time. When we make material changes we will notify you by email or by displaying a notice in the app. The updated Terms will become effective on the date stated. Continued use of Subproof after that date constitutes your acceptance of the new Terms.
12Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Toronto, Ontario, Canada.
